Welcome to JustGuard. These Terms and Conditions ("Terms") govern your access to and use of the JustGuard cybersecurity scanning and brand protection platform (the "Service"), provided by JustGuard (BE0804.357.949) ("Company," "We," "Us," or "Our").
By accessing or using the Service, You ("User" or "You") agree to be legally bound by these Terms. If you are entering into these Terms on behalf of a company or legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Interpretation and Definitions
1.1 Company: JustGuard, a company registered in Belgium (BE0804.357.949).
1.2 Service: The JustGuard platform, including its website, APIs, scanning tools, monitoring dashboards, and AI-powered analysis features.
1.3 User Content: All data, text, URLs, logos, or information uploaded or submitted by You to the Service.
1.4 AI Tools: The artificial intelligence models (including third-party deployments like Azure OpenAI) used to analyze threats.
2. Description of the Service and Beta Features
2.1 Scope: The Service provides automated cybersecurity scanning, monitoring, and analytics to help detect and respond to security and brand abuse risks. Available features depend on Your subscription plan.
2.2 Modifications: We may add, modify, or remove features at any time. For material changes negatively affecting core functionality, We will use reasonable efforts to provide advance notice.
2.3 Beta Features: Early access, beta, or experimental features are provided strictly on an "AS IS" and "AS AVAILABLE" basis and may be discontinued at any time without notice or liability.
3. Accounts and Security
3.1 Accuracy: You must provide accurate and current information when creating an account and keep it up to date.
3.2 Confidentiality: You are responsible for maintaining the confidentiality of Your login credentials and for all activities under Your account. You must notify Us immediately of any unauthorized use.
3.3 Liability: JustGuard is not liable for any loss or damage arising from Your failure to comply with these security obligations.
4. Acceptable Use Policy
You agree NOT to use the Service to:
- Scan, probe, or test systems for which You do not have lawful authorization.
- Facilitate phishing, malware distribution, or any cyber-attack.
- Interfere with or disrupt the integrity or performance of the Service (e.g., DoS attacks).
- Reverse engineer, decompile, or extract the source code of the Service.
- In violation of any applicable law, including data protection and export control laws.
Violation results in immediate suspension or termination without refund.
5. Your Responsibilities
5.1 Data Rights: You are solely responsible for the legality of User Content and for obtaining all necessary consents for Us to provide the Service (e.g., rights to scan target domains).
5.2 Internal Security: You remain responsible for maintaining appropriate security, backup, and recovery measures for Your own systems. The Service assists but does not replace Your security duties.
5.3 Cooperation: You agree to reasonably cooperate with Us (providing timely information/feedback) to support and improve the Service.
6. AI-Powered Analysis
6.1 Probabilistic Nature: Analysis is performed by AI Tools. Results are probabilistic, provided "as is," and may contain errors, false positives, or false negatives.
6.2 No Absolute Guarantee: We do not guarantee the identification of all threats. The Service is a decision-support tool; final security decisions rest with the User.
7. Intellectual Property
7.1 Ownership: The Service (excluding User Content) and its design/code are the exclusive property of JustGuard.
7.2 License: You grant JustGuard a worldwide, non-exclusive, royalty-free license to host, store, and analyze User Content strictly for providing, securing, and improving the Service. This includes training internal detection algorithms (anonymized).
7.3 Restrictions: You must not submit special categories of personal data (e.g., health data) unless strictly necessary and with all required safeguards in place.
8. Fees, Billing, and Trials
8.1 Payments: Access to certain features may be subject to payment of fees, including recurring subscriptions or ad-hoc purchases (e.g., individual takedowns). Fees are exclusive of taxes.
8.2 Refunds: All fees are generally non-refundable except where required by mandatory law.
8.3 Trials: We may offer free trials which may be modified or terminated at any time without notice or liability.
9. Service Availability and Maintenance
We use commercially reasonable efforts to keep the Service available. However, it may be temporarily unavailable for planned maintenance or urgent security updates. We are not liable for unavailability caused by factors outside our reasonable control.
10. Indemnification
You agree to indemnify and hold harmless JustGuard and its affiliates from any claims, damages, or expenses (including legal fees) arising from: (a) Your use of the Service in violation of these Terms; (b) Your User Content; or (c) any misuse by persons granted access under Your account.
11. Limitation of Liability
NOTHING IN THESE TERMS EXCLUDES LIABILITY FOR DEATH, PERSONAL INJURY, OR FRAUD WHERE MANDATORY LAW PROHIBITS SUCH EXCLUSION.
11.1 Cap: Subject to the above, our total aggregate liability shall not exceed the amount paid by you for the Service (including subscriptions and ad-hoc purchases) in the twelve (12) months preceding the claim, or €100 EUR if no purchases were made.
11.2 Exclusion: We are NOT liable for indirect, incidental, or consequential damages (e.g., loss of profits, data loss) resulting from a cybersecurity incident, even if the Service failed to detect it.
12. Data Protection and Security
12.1 Privacy: Processing is governed by our Privacy Policy. We implement appropriate technical measures to protect Your data.
12.2 Logs & Anonymisation: We may generate logs and telemetry (scan results, performance metrics) for security, support, and billing. Where possible, data is aggregated or pseudonymized.
13. Force Majeure
JustGuard shall not be liable for any failure to perform where such failure results from events beyond its reasonable control, including acts of God, war, terrorism, power outages, or pandemics.
14. Governing Law and Jurisdiction
14.1 Law: These Terms are governed by the laws of Belgium, excluding its conflict of law rules.
14.2 Exclusive Jurisdiction: Any dispute regarding the existence, validity, or termination of these Terms shall be submitted to the exclusive jurisdiction of the Courts of Flanders, Belgium, without prejudice to mandatory consumer protection rules.
15. Termination
15.1 Rights: We may terminate access immediately for breach of Terms. You may terminate by closing Your account or cancelling Your subscription.
15.2 Data Portability: Where reasonably possible, You may request export of Your User Content before termination, unless legally prohibited.
16. Miscellaneous
16.1 Assignment: You may not assign these rights without consent. We may assign rights (e.g., M&A) or use subcontractors to provide the Service.
16.2 Entire Agreement: These Terms and any DPA/Order Form constitute the entire agreement. A separately signed written agreement takes precedence over these Terms in case of conflict.
16.3 Changes: We may modify Terms. Continued use after changes implies acceptance.
